These Terms of Service (“Terms”) govern your access to and use of the websites, quotes, orders, and services provided by FortiFi Network (“FortiFi,” “we,” “our,” or “us”). By using our website at fortifinetwork.com, requesting a quote, placing an order, or receiving services, you agree to these Terms.

1) Acceptance, Updates, & Eligibility
- By accessing our website, requesting/accepting a quote, signing an order or SOW, or permitting us to begin work, you accept these Terms.
- We may update these Terms by posting a revised version at fortifinetwork.com. Changes apply prospectively; material changes will be noted by an updated “Last updated” date.
- You must be at least 18 years old and have the authority to bind the person or entity you represent.
2) Website Use & Content
- All content on our site (text, images, logos, designs) is owned by FortiFi or licensors. You may not copy, scrape, or redistribute without prior written consent.
- Links to third-party sites are provided for convenience and do not imply endorsement; we are not responsible for their content or policies.
- Your use of the website is also subject to our Privacy Policy.
3) Quotes, Scope, & Changes
- Quotes/Estimates. Pricing and scope are based on information available at the time of quotation and are valid for the period specified in the quote. Quotes are not binding until accepted in writing and, if applicable, deposit received.
- Scope. The final scope is defined in your Order, SOW, or invoice. Items not expressly included are out of scope.
- Change Requests. Any change to scope, site conditions, third-party constraints, or schedule may require a written change order with adjusted fees and timelines.
4) On-Site Work, Access, & Safety
- Access. You must provide safe, timely access to all areas, pathways, closets, ceilings, and equipment necessary for installation and testing.
- Site Readiness. You are responsible for site preparation (e.g., power, grounding, conduits, clearances, permits, landlord/HOA approvals). Delays due to site readiness may incur additional charges.
- Incidental Openings. You authorize reasonable drilling, mounting, fasteners, and cable routing. We will use professional care; minor cosmetic touch-ups are excluded unless otherwise stated.
- Safety. We may stop or refuse work if conditions are unsafe or non-compliant with applicable codes.
5) Third-Party Hardware, Software, & ISPs
- We may recommend or resell third-party products (e.g., UniFi, cameras, access control) and may assist with configuration. Manufacturer warranties apply; FortiFi is not the manufacturer and makes no independent hardware warranties.
- Performance depends on external factors (building materials, RF environment, interference, ISP quality). We cannot guarantee uninterrupted or error-free service.
- You are responsible for your ISP services, credentials, static IPs, DNS changes, and any carrier fees.
6) Fees, Deposits, Payment, & Taxes
- Fees are as stated in your Order/SOW/invoice. We may require a deposit prior to procurement or scheduling.
- Unless otherwise specified, invoices are due upon receipt. Late balances may accrue a late fee or interest at the maximum rate permitted by law.
- Prices exclude applicable taxes, duties, and shipping unless expressly included.
- You authorize FortiFi to charge the payment method on file for amounts due. Chargebacks on authorized transactions are prohibited; you agree to contact FortiFi to resolve any disputes first.
7) Scheduling, Cancellations, & Rescheduling
- Confirmed appointments may be rescheduled with reasonable notice. Short-notice cancellations or failed access may incur a visit fee.
- Custom-ordered or special-order items may be non-cancellable and non-refundable once procurement begins.
8) Managed Networks & Support
- Scope. Managed services (monitoring, updates, policy changes) are provided only if you have an active managed plan. Otherwise, support is time-and-materials.
- Hours. Standard support hours are business hours (local time), excluding holidays. After-hours/emergency requests may be billed at higher rates.
- SLAs. Unless expressly stated in your managed plan, response/restore times are targets, not guarantees.
- Remote Access. You authorize FortiFi to use remote management tools/credentials you provide to deliver services.
- Firmware & Config. We may recommend firmware updates or configuration changes. You acknowledge updates can occasionally cause regressions; rollback or remediation may be billed if outside a managed plan.
9) Security, Data, & Acceptable Use
- You are responsible for your content, users, and compliance with law. You will not use the network for unlawful, harmful, or abusive activity.
- We implement reasonable measures for the services we provide, but no system is 100% secure. You should maintain backups and appropriate administrative controls.
- For cameras and access control, you are responsible for lawful placement, data retention, notices/signage, and responding to data requests from authorities or subjects, unless otherwise agreed in writing.
10) Warranties & Disclaimers
- Services. Except as expressly stated in your Order/SOW, services are provided “as is” without warranties of any kind.
- Hardware. All hardware is subject to manufacturer’s warranties and return policies. We pass through any transferable warranties to you.
- Disclaimers. We do not warrant uninterrupted uptime, perfect wireless coverage, or immunity from interference. Environmental changes (new walls, appliances, neighbors’ APs) may affect performance.
11) Limitation of Liability
- To the maximum extent permitted by law, FortiFi will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption.
- Our total liability for all claims in the aggregate will not exceed the amounts you paid to FortiFi for the service(s) giving rise to the claim during the twelve (12) months preceding the event first giving rise to liability.
12) Indemnification
You will defend, indemnify, and hold FortiFi harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your: (a) misuse of the services or equipment; (b) violation of law; (c) infringement of third-party rights; or (d) failure to obtain necessary permissions/consents for installations, cameras, or access control.
13) Intellectual Property & Deliverables
- FortiFi Materials. Our designs, templates, scripts, documentation, and know-how remain our IP. We grant you a non-exclusive license to use deliverables for your internal business or household at the installed location(s).
- Open Source / Vendor Terms. Some components may be subject to third-party or open-source licenses; those terms govern the use of those components.
- Portfolio Use. We may reference non-identifying project details or before/after photos for our portfolio/marketing unless you opt out in writing.
14) Returns, RMAs, & Title Transfer
- Hardware returns are subject to manufacturer approval and timelines. Restocking fees and shipping charges may apply.
- Title to hardware transfers upon full payment. Risk of loss passes on delivery to the site or to the carrier, as applicable.
15) Compliance, Cameras & Access Control
- You are responsible for complying with applicable laws regarding surveillance, audio/video recording, data retention, and access control (e.g., notice signage, restricted areas, consent where required).
- We do not provide legal advice; consult your counsel for regulatory requirements applicable to your use case.
16) Term, Suspension, & Termination
- We may suspend or terminate services for non-payment, unsafe conditions, unlawful use, or material breach. You remain responsible for fees incurred and costs of demobilization.
- Sections intended to survive (e.g., fees due, warranties/disclaimers, limitation of liability, indemnity, IP, dispute resolution) will survive termination.
17) Governing Law & Dispute Resolution
- These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
- Exclusive venue and jurisdiction lie in state or federal courts located in Williamson County, Texas. You consent to personal jurisdiction there.
- Class Action Waiver. Disputes must be brought on an individual basis; class, consolidated, or representative actions are not permitted.
18) Miscellaneous
- Independent Contractor. We are an independent contractor; no partnership, agency, or joint venture is created.
- Force Majeure. We are not liable for delays/failures due to events beyond our reasonable control (e.g., supply chain issues, weather, outages).
- Assignment. You may not assign your rights or obligations without our written consent; we may assign in connection with a merger, sale, or reorganization.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Entire Agreement. These Terms plus your Order/SOW/invoice constitute the entire agreement and supersede prior proposals or understandings.
- Notices. We may provide notices via email to your last provided address or by posting on our site. You may send notices to info@fortifinetwork.com.
